Introduction
Welcome to Knoveo Services Ltd (hereinafter referred to as ‘Knoveo’)! We're excited to have you on board.

Before you start using Knoveo, we ask you to take a moment to review these Terms of Use. We’ve tried to keep them straightforward, so you’ll know exactly what you’re agreeing to and what you can expect from us.

We’ve added summaries at the top of each section to make things easier, but the full legal terms below are what apply. If you don’t agree with them, you won’t be able to use our services.

These Terms of Use form a binding agreement between you (“Subscriber”) and Knoveo Services Ltd (“Knoveo”) that governs your access to and use of the Knoveo platform and services.

By accepting these Terms, you agree to both:

The Master Services Agreement (MSA) aspects — which cover the subscription services, payment terms, support, data responsibilities, and termination; and

The End User License Agreement (EULA) aspects, which grant you a limited license to use the Knoveo software platform under the conditions set forth here, including restrictions on copying, modification, and ownership of intellectual property.
This combined agreement simplifies our relationship and ensures you understand your rights and obligations in one document.

Definitions
“Platform” refers to the Knoveo client lifecycle management software.
​
“Services” means the configuration, onboarding, screening integration, and support provided by Knoveo.
​
“Customer Data” refers to any data inputted by the Customer or on the Customer’s behalf for the use of the Services.
​
“Users” means your authorised employees or contractors who access the platform.​

Joining and using Knoveo
This section explains how to subscribe, who’s responsible for what, and how user roles work.

1. You and Knoveo
When we say “you” or “your,” we mean you personally and/or the company or organisation you represent. When we say “Knoveo,” “we,” “our,” or “us,” we’re talking about Knoveo Ltd, a UK-based company registered in London.
​
2. Our Services
Knoveo is a subscription-based SaaS platform for client lifecycle management, including onboarding, KYC/AML compliance, due diligence workflows, and ongoing monitoring. We offer integrations with partners like Fenergo and Lexis Nexis to power parts of our solution.
​
3. Creating a Subscription
When you sign up for Knoveo and agree to these terms, you become a subscriber. You’re responsible for managing the account and paying for the subscription.

4. Invited Users
You can invite others in your team or organisation to use Knoveo under your subscription. These invited users must also agree to these terms before accessing the platform.
​
5. Roles and Permissions
As a subscriber, you control access and permissions for your invited users. Be mindful of the roles you assign — they determine who can see or do what inside Knoveo.

Terms of Use
This is the core agreement between us. Here’s what we promise — and what we expect from you.

6. Your Access Rights
We grant you a non-exclusive, non-transferable right to use Knoveo (based on your subscription level) as long as your subscription is active and in good standing.
This license is limited to internal business use only. You may not sublicense, copy, modify, or reverse engineer the Platform.

7. Subscriber Responsibilities
You’re responsible for:

All activity under your subscription.

Managing invited users and their access.

Resolving any internal disputes over access or data.

Making sure your info (especially your email address) is up to date.

8. Your Commitments
You agree to :

Use Knoveo only for legal business purposes.

Protect your login credentials.

Provide accurate and truthful information.

Not misuse or interfere with the platform.

Pricing and Billing
Unless you’re on a free trial or promotional offer, a paid subscription is required based on the pricing of your chosen plan. The pricing and specific terms of your subscription will be presented at the time you select your plan.

9. Subscription Fees
Knoveo operates on a monthly or annual subscription model. The pricing plan and fees are agreed upon at sign-up and may vary depending on features selected.

10. Trial Periods
If you start with a free trial, you’ll need to add billing details to continue using Knoveo once the trial ends. If you don’t continue, your access will be suspended, and data may be archived or deleted after a set period.

11. Taxes
All applicable taxes (like VAT) will be added to your invoice where required by law.
​
12. Late Payments
To keep your access uninterrupted, please make payments on time. We reserve the right to suspend access for overdue accounts and may terminate if payments remain unpaid. Suspension may occur immediately after a missed payment before termination.

Data and Privacy
This section explains how Knoveo uses data to deliver our services and where you can find more information about how we handle personal data.

13. Your Data
You retain ownership of any data you enter into Knoveo. You grant us a licence to use, store, back up, and process that data to deliver our services and support.

14. Third-Party Data Processing
When you use integrations (e.g. Fenergo or Lexis Nexis), their terms also apply. Knoveo is not responsible for how these partners use or process data — though we choose our partners carefully.

We take data security seriously. We comply with the UK GDPR and other relevant regulations. See our [Privacy Policy] for more information.

Security
We take security seriously—and you should too. To help protect both our services and your data, Knoveo provides additional security features, including multi-factor authentication.

16. Our Safeguards
We use industry-standard security practices, including encrypted connections and regular audits. However, no system is 100% secure, so we recommend you take appropriate precautions on your end too.
​
17. Your Role in Security
Keep your passwords safe, enable multi-factor authentication (if available), and let us know immediately if you suspect any unauthorised access.

Third-Party Services
To enhance your experience, the Knoveo ecosystem includes integrations and additional services offered by trusted partners through supported third-party platforms.

18. Integrations
Knoveo integrates with third-party services, such as Fenergo and Lexis Nexis. When you enable these, you authorise us to exchange data with them as needed to provide functionality.
​
19. Their Terms Apply Too
These providers are independent of us, and their terms, privacy policies, and fees may apply separately. You’re responsible for understanding and complying with those.
​
Maintenance and Support
We work hard to minimise downtime, but occasional interruptions may be necessary to keep our services secure and up to date. You may also experience temporary access issues or, in rare cases, data loss—so we recommend regularly backing up your data.

20. Uptime and Availability

Knoveo targets 99.5% platform availability per calendar month, excluding scheduled maintenance.

Scheduled maintenance will generally occur outside normal business hours (UK time) and with at least 48 hours’ notice.

22. Support and Response Times
We provide online support via email at knoveo.enquiries@jjcfintech.com. Response times vary by subscription plan.

SLA targets apply to business hours (Mon–Fri, 09:00–17:30 UK time) unless otherwise agreed in writing.

23. Third Party System
Knoveo makes reasonable efforts to ensure the availability and proper functioning of our SaaS platform. While we are responsible for maintaining and supporting our version of Knoveo, the platform operates as a tenant of Fenergo, a third-party system.

Accordingly:

Knoveo Responsibility: We are responsible for the performance, support, and maintenance of the Knoveo features and services we provide.

Third-Party Limitations: Knoveo is not liable for any interruptions, errors, or other technical difficulties caused by Fenergo or other third-party systems beyond our direct control.

No Guarantees: While we strive for high availability, uptime cannot be guaranteed due to dependencies on Fenergo and other factors outside our control.

Do’s and Don’ts
This section is important—it outlines the acceptable (and unacceptable) ways you can use our services.

24. Responsible Use
Please don’t misuse Knoveo. That includes:

Hacking, tampering, or trying to access systems you’re not authorised for.

Uploading malicious content.

Violating laws or the rights of others.
-
Being abusive to our team or other users.

Ending Your Subscription
This section lays out ways in which your subscription could end, and how it ends.

25. How You Can Cancel
You can cancel with one month’s written notice. You’ll still need to pay any outstanding fees up to the cancellation date.

26. How We Can Cancel
We can also cancel with one month’s notice, or immediately if you:

Violate these terms and don’t fix it within 14 days.

Use Knoveo for unlawful or harmful purposes.

Become insolvent or cease operations.

27. What Happens Next
When your subscription ends:

We may archive your data for a limited time.
-
You may be able to reactivate within that window by resubscribing.

We may delete your data permanently if not requested otherwise.

Liability
This section outlines the liability terms between Knoveo and both subscribers and invited users. We encourage you to read it carefully and in full, as it contains important legal information.

28. Our Liability
We’re not liable for:
-
Indirect or consequential losses.
-
Loss of revenue, profits, or data (except as covered below).

Third-party service issues.
Our total liability is capped at the amount you’ve paid us in the past 12 months.

29. Your Indemnity
You agree to cover us for any claims arising from your misuse of Knoveo or violation of these terms — unless it’s caused by our own gross negligence or misconduct.
All rights, title, and interest in the Platform and Services remain with Knoveo or its licensors. You receive no ownership rights other than the license granted herein.

Disputes
This section explains how any disputes between you and Knoveo may be resolved, including the steps both parties may take to reach a resolution.

30. Resolving Disputes
We’d much rather work things out directly. If you have an issue, please reach out to us first. If we can’t resolve it informally, we both agree to pursue arbitration or small claims court in the UK.

This section sets out additional terms that cover important matters not addressed elsewhere. We recommend reviewing them carefully.

31. Legal Status
These terms don’t create a partnership, joint venture, or employment relationship between you and Knoveo.

32. Transfer of Agreement
We may transfer these terms to another company in the event of a merger, acquisition, or reorganisation. If that happens, we’ll let you know.

33. Governing Law
These terms are governed by the laws of England and Wales, and disputes will be handled in the courts of London, UK.

Information Security Policy

It is the policy of JJC to maintain an information security management system (ISMS) designed to meet the requirements of ISO 27001 in pursuit of its primary objectives, the purpose and the context of the organisation.

Our, JJC, Information Security Policy is as follows:

make the details of our policy known to all other interested parties including external where appropriate and determine the need for communication and by what methods relevant to the business management system.

comply with all legal requirements, codes of practice and all other requirements applicable to our activities; therefore, as a company, we are committed to satisfy applicable requirements related to information security and the continual improvement of the ISMS.

provide all the resources of equipment, trained and competent staff and any other requirements to enable these objectives to be met;

ensure that all employees are made aware of their individual obligations in respect of this information security policy;

maintain a management system that will achieve these objectives and seek continual improvement in the effectiveness and performance of our management system based on “risk”.

This information security policy provides a framework for setting, monitoring, reviewing and achieving our objectives, programmes and targets through regular management reviews.

To ensure we maintain our awareness for continuous improvement, the information security management system is regularly reviewed by the Leadership Committee to ensure it remains appropriate and suitable to our business. The Information Security Management System is subject to both internal and external annual audits.

Scope of the Policy

The scope of this policy relates to use of the database and computer systems operated by the company in pursuit of the company’s business of providing digital solutions for Anti Money Laundering, Regulatory, and Tax Compliance for all corporate customers globally. It also relates where appropriate to external risk sources including functions which are outsourced.
